Revising Charter Documents for a Large Medical Center

We revised the charter documents of a large medical center and its affiliated medical group, including the medical group’s general partnership agreement.

We amended and restated the partnership agreement to create two classes of partners, to accommodate growth while preserving the voting and other rights of the original partners. We have counselled the medical group’s management on various governance matters, and we assisted them with respect to compensation issues concerning the two different classes of partners.
