His work includes mergers and acquisitions, financings, private placements of debt and equity securities, general contract, securities, and healthcare law.
A significant portion of Mr. Grace's clients are involved in the healthcare industry.
Mr. Grace has a background in general corporate and technology matters, having served as in-house counsel and Vice President of Business Affairs for a start-up Internet company and a software company.
Prior to joining Nossaman, Mr. Grace was a Judicial Extern to the Hon. A. Andrew Hawk, Senior Judge, U.S. District Court, Central District of California.

Representation of clients in the formation and governance of new companies, including providing advice on choice of entity, preparing necessary formation documents such as partnership agreements, operating agreements and shareholder agreements, and issues relating to governance.
Mergers and Acquisitions. Representation of various organizations in restructuring and combinations with other organizations. Extensive experience in organizing and syndicating interests in joint ventures, including limited liability companies, partnerships and corporations.
Business Operations. Representation of clients in day to day operations, including assistance with financing, deal structuring, risk management, contract review and drafting and negotiation of contracts.
Exempt Securities Financings. Representation of clients in raising capital by the issuance of debt and securities in transactions exempt under Regulation D, Securities Act of 1933 and state securities laws.
Healthcare Transactions. Representation of owners, operators and managers of ambulatory surgical centers and surgical hospitals, outpatient imaging facilities and hospice programs in acquisition and development of facilities throughout the United States. Representation of managed care medical groups and independent practice associations in restructuring and combinations with other organizations. Representation of renowned medical center and its affiliated organizations in transactional matters, including negotiating and preparing software licensing contracts, research arrangements and consulting and service agreements.
Start-Ups/Emerging Growth Representation. Representation of beauty products manufacturer in launching its online affiliate program, including creation of terms and conditions of participation, privacy policy and independent contractor agreements for management and sales personnel. Representation of matchmaking services company in creating contract with clients and providing advice on legal and business issues relating to services.
