Nossaman LLP has represented public and private companies, governmental agencies and utility companies on some of the most complex and unique real estate and infrastructure projects in California. Our Real Estate Practice Group assists clients to acquire, manage, and dispose of substantial real estate equity and debt investments. Nossaman attorneys handle properties of all kinds, including raw land, industrial and R&D properties, offices, retail, other commercial and mixed-use projects, hotels, single and multi-family housing, major new development projects, and undeveloped and agricultural land. We assist our clients with asset management, draft and review leases and amendments, manage tenant issues, and counsel clients on dealing with insurance claims and condemnations. We document financings, both single-asset and multiple-asset, negotiate mezzanine and bridge financing, and close bond financing and structured financings.
Acquisitions and Dispositions
Nossaman attorneys have successfully handled purchases and sales of a wide spectrum of real estate interests – from raw land to entire real estate portfolios. We assist our clients by drafting and negotiating letters of intent, purchase, confidentiality, option and land exchange agreements. Nossaman attorneys are experts in conducting legal due diligence in connection with real estate acquisitions, including investigations and reviews regarding title, land use, zoning and other entitlement issues, leasing and other contractual obligations, and environmental risk assessment.
Our attorneys have in depth experience representing landlords and tenants in the negotiation of leases for office, retail, industrial and mixed use properties. Nossaman attorneys offer counsel to our clients, including real estate owners, developers, investors, tenants, managers, advisors, and lenders, in all aspects of leasing, subleasing, and sale-leaseback transactions. Our legal services range from drafting, reviewing, and negotiating office, industrial, and retail leases and work letters, to ground, build to suit, and maritime leases. We frequently represent corporate entities and public agencies in their office leasing needs and have worked with health care providers and health plans on office and health facility leases.
Nossaman attorneys represent lenders and borrowers in loans secured by real property, and in other real estate financings and equity participations. Our experience ranges from conventional, acquisition, and construction lending, to permanent as well as mezzanine and bridge loans. We have represented dozens of borrowers in commercial mortgage-backed securities (CMBS) financings and have negotiated many interest rate hedging devices. In addition, we have represented borrowers in defeasing securitized loans, and buyers and sellers in the assumption of securitized loans.
Nossaman has an extensive litigation practice, including all types of real estate litigation from tenant delinquencies, workouts, and bankruptcies, to construction defects and loan defaults. In all cases, we work closely with the client to bring matters to a successful conclusion, whether at trial and appeal, if needed, or through settlement.
