Elinor Eizdi's practice focuses on real estate and general corporate law. Her real estate experience includes the representation of private and public entities in acquisition and dispositions of real property, oil & gas assets, and mineral rights from negotiations through drafting of contracts, due diligence and closing.
Ms. Eizdi's corporate experience includes mergers, acquisitions and sales of private companies, corporate finance, securities law, corporate governance, and the formation and organization of various legal entities. She has represented startup entrepreneurs, corporate executives, and boards of directors.
Prior to graduating from law school in 2012, Ms. Eizdi was a law clerk at Los Angeles-based law firm and served as a judicial extern to the Honorable Ellen Carroll.
Alameda Corridor Transportation Authority ("ACTA"). A member of the Nossaman legal team, assisting ACTA with right of way acquisitions and utility relocations. Work includes participation in negotiations and drafting multiple deeds and agreements with public agencies and private parties.
Downtown Properties. Assisted in the acquisition of a commercial property in Los Angeles. Work included performing title review, lease review, other due diligence and document drafting.
Foothill/Eastern Transportation Corridor Agency. Assisted in negotiations and drafting of complex agreements for the acquisition of large tracks of land properties for toll road purposes from numerous entities. Work also included research and analysis of environmental constraints and impacts on future development.
Monarch HealthCare. Served as a member of the Nossaman legal team which represented the client in its acquisition by OptumHealth. Participated in negotiating sessions with opposing counsel, assisted on tax law compliance work and prepared proxy and information statements and shareholder communications.
Naftex Development LLC. Provided legal assistance leading to the acquisition of oil and gas leases as part of a bankruptcy auction. Work also included drafting of oil and gas leases and operating agreements.
Port of Long Beach. Assisted with the acquisition of the Port's new administrative offices. Work consisted of performing due diligence, analysis of underlying documents and drafting agreements and closing documents. Currently serving as a member of the Nossaman legal team assisting the Port with acquisition of property interests in connection with the plan to replace the Gerald Desmond Bridge. Work includes drafting the Purchase and Sale Agreement, Access Agreement, Demolition and Relocation of Dewatering Wells Agreement, deeds and related documents, performing due diligence and extensive title review.
Vaquero Energy Inc. Represented the buyer in the acquisition of real property in Santa Barbara County. Work included performing due diligence, drafting the Purchase and Sale Agreement and closing agreements.
