Andry O. Zinsou, an associate in Nossaman’s Infrastructure Practice Group, assists public agencies in delivering large-scale infrastructure projects through public-private partnerships (P3s) and other innovative delivery methods.  His work includes assisting with drafting procurement and contract documentation relating to P3, design-build-operate-maintain and design-build agreements.  He also advises on proposer evaluation and selection processes.

Moreover, Mr. Zinsou has significant international energy experience.  Previously, as senior legal counsel in the worldwide Thermal Division of ContourGlobal, a large New York-based independent power producer with 61 plants located in 20 countries, Mr. Zinsou assisted in project development and financing transactions as well as operational and corporate governance issues for 20 power plants in Africa, Europe, Latin America and the Caribbean.  Among other positions, he worked on infrastructure, power and oil & gas project finance and PPP projects at White & Case LLP in Paris, France, and as an international associate in the Ghana office of Africa’s largest law firm, ENSafrica.

Mr. Zinsou has worked on international project development, finance and M&A deals in the U.S., Africa, Europe and the Caribbean, advising on more than $5.5 billion in transactions to date.  He is also well-versed in litigation matters, having handled numerous project-related disputes in federal court and overseas.

Representative Work

  • Riverside County Transportation Commission – I-15 HOT Lanes.  Member of the legal team advising on development, procurement and financing of a project to add tolled express lanes along a portion of the heavily traveled I-15 in Riverside County.  The $425 million-$450 million upgrade, which is undergoing environmental analysis, will feature 15 miles of managed lanes in the median in each direction from Cajalco Road north to SR-60.  Mr. Zinsou’s role has included assisting with structuring the procurement, drafting and finalizing procurement and contract documents, and participating in the development and execution of the evaluation process.

  • Arizona Department of Transportation – Phoenix Metropolitan Area Freeway Lighting Project.  Member of the legal team advising on the development, procurement and financing of the Phoenix Metropolitan Area Freeway Lighting Project through a DBFOM. ADOT seeks to upgrade more than 19,000 luminaires to LED technology with remote monitoring and controls, covering approximately 300 miles of controlled access highway throughout the greater Phoenix area, including the Deck Park Tunnel on I-10 over an anticipated two-year period, and to then operate and maintain the system to prescribed performance standards for approximately fifteen - twenty years – Mr. Zinsou’s role includes assisting with drafting the project agreement, the Request for Qualifications (RFQ), the Instructions to Proposers (ITP) and the RFQ evaluation manual.

  • Arizona Department of Transportation – Stormwater Pump Station Rehabilitation Project . Member of the legal team advising on the stormwater pump station rehabilitation project in the Phoenix Maintenance District (PMD). Client currently operates 72 stormwater pumping systems within the PMD constructed incrementally over a period of time ranging from 1964 to 2015. Most of them are used to remove stormwater from roads. Client is conducting market outreach efforts to decide the best alternative delivery model based on the project’s risks – Mr. Zinsou assists with early development efforts, including reviewing Request for Information (RFIs), attending market feedback preparatory calls, attending risk assessment sessions, commenting on project schedule and discussing project delivery risks and benefits with client.

  • Texas Department of Transportation – US 183 North Mobility Project.  Member of the legal team advising on the US 183 North Mobility Project. The project consists of a planned toll road project located in Travis and Williamson counties extending generally from SH 45/RM 620 to State Loop 1, an anticipated total length of approximately 9 miles consisting of the construction of two managed lanes, and the widening of the existing US 183 to add a fourth general purpose lane in each direction along with other improvements to US 183. The project will be delivered through the design-build delivery model – Mr. Zinsou created a drafting matrix for the term sheet and project agreement, and assisted with reviewing the preparation of the project development agreement between TxDOT and the Central Texas Regional Mobility Authority.

  • Texas Department of Transportation – SH 249 Project. Member of the legal team advising on the procurement of a proposed $400 million design-build-maintain project to enhance connections between the metropolitan areas of Houston, Bryan/College Station and Waco while improving safety in communities along the route.  The SH 249 Extension Project, an approximately 24-mile new tolled facility, will include an initial segment with up to four new managed lanes – Mr. Zinsou’s duties involve assisting with drafting and reviewing procurement and contract documents, including the design-build and capital maintenance agreements.

  • San Bernardino County Transportation Authority – I-10 Corridor Contract 1 Project.  Member of the legal team advising on development and procurement of a $340 million project to add tolled express lanes to a portion of I-10 in San Bernardino County.  Our services include advising on the structuring of the procurement, drafting of procurement and contract documents, risk analysis, federal and state requirements and developing of cooperative agreements with local and state entities.  Mr. Zinsou’s work included reviewing the RFQ documents and assisting with the preparation of the RFQ evaluation materials.

  • Metro Gold Line Construction Authority – Metro Gold Line. Member of the legal team advising the agency on projects to develop the Metro Gold Line since 2000. Nossaman is currently advising the Authority on the 24-mile Foothill Extension (Phase 2B), which will extend the system further east to Montclair, including a recently awarded construction contract for relocation of utilities affected by the rail project and an upcoming design-build contract for the alignment.  Phase 2A of the project, which opened in March 2016, extended the line to Azusa and added 11.3 miles of new track along with six new stations and an operations and maintenance facility. In 2016, the Gold Line project won “Outstanding Rail Project of the Year” from the American Society of Civil Engineers, Metropolitan Los Angeles Branch; the “Sustainability Excellence Distinction Award” and “Exceptional Project Achievement Award” from the Western Council of Construction Consumers and was recognized as one of ArchDaily’s “Top 100 Architecture Projects” – Mr. Zinsou’s role for the relocation of the utilities included reviewing and drafting the Request for Bids (RFB), conducting a City and State compliance review as well as incorporating the Caltrans Standard Specifications and the client’s administration code requirements into the RFB. Tasked with reviewing the Request for Proposals (RFP) prepared by the client for the Phase 2B design build and completing a comprehensive State compliance review.

  • City of Los Angeles Department of Public Works – Advanced Water Purification Facility.  Member of the legal team advising the Los Angeles City Attorney’s Office with a procurement of a progressive design-build contract by the City’s Bureau of Sanitation, for an Advanced Water Purification Facility (AWPF) at the Hyperion Water Reclamation Plant (HWRP).  As part of the City's long-term water management objectives of "fully" reusing water from the HWRP, the Project is being implemented to treat and supply water to be reused at facilities operated by the Los Angeles World Airports (LAWA), as well as other nearby uses.  The Project consists of an advanced water purification facility that will treat primary effluent from the HWRP to high-quality, nitrified¬ denitrified (NDN) reclaimed water suitable for all reuse applications envisioned by LAWA.  The treatment process for the proposed facility is comprised of fine screening, membrane bioreactor (MBR) treatment, reverse osmosis treatment, ultraviolet (UV)/advance oxidation processes (AOP) disinfection, and product water conditioning.  The Project will result in the implementation of 1.5 to 3.0 million gallons per day (mgd) of treated water capacity, with the ability to expand to a build-out capacity of 5.0 mgd.  The Project will also include a 1,000,000-gallon underground tank for storage of product water, and a 2.5 mgd (firm capacity) pump station for transfer of product water to LAWA.  Mr. Zinsou assists in preparing a risks, issues and responsibilities chart, drafting the progressive design build general conditions and agreement, participating in the preparation of the evaluation documents, and in the execution of the evaluation process.

  • International Lenders’ Consortium – Adana Health Campus Project in Turkey.  Key member of the White & Case LLP team which advised an international lenders’ consortium and a syndicate of commercial banks on the €550 million financing of an integrated healthcare campus public-private partnership (P3) in Adana, Turkey. This is Turkey’s first P3 project. Following 36 months of construction, the project company will operate the health campus for a 25-year period with a total capacity of 1,550 beds and state-of-the-art equipment. Mr. Zinsou assisted with the financial due diligence report including reviewing, summarizing and analyzing the provisions of the main project documents, creating a risk matrix and providing research support. 

  • Dutch Multinational Bank – Marine XII Oil & Gas Project in the Republic of Congo.  Key member of the White & Case LLP team which advised a Dutch multinational bank in the US $300 million financing of offshore drilling and production facilities in the Marine XII block off the coast of Brazzaville in the Republic of Congo. Mr. Zinsou assisted in reviewing all project documentation, drafting the legal due diligence opinion for the lenders and the security documents governed by local regulations as well as serving as point of contact within the firm for the lender’s local counsel in the Republic of Congo.

  • French-Italian Project Developer – Ecotax on Heavy Duty Vehicles in France.  Key member of the legal team advising a French-Italian Developer, which obtained the rights to build, operate facilities, and collect taxes on heavy goods vehicles in France through the national heavy goods vehicle tax called “Ecotax”, on the legal and financial consequences of the partnership agreement entered into between the French State and the client following the French authorities’ decision to suspend the Ecotax indefinitely. Mr. Zinsou provided research support and assisted in drafting a comprehensive memorandum to the client covering French administrative law, tax law, criminal law and constitutional law issues.

  • International Lenders’ Consortium – Kpone Thermal Power Plant Project in Ghana.  Key member of the legal team advising a South African and European Bank syndicate, in collaboration with Clifford Chance LLP, in a term loan facility of up to $900 million for the construction of a 340MW, gas and oil fired, combined cycle thermal power plant in the municipality of Kpone within the Tema industrial zone, which will become one of the main offtakers of the West Africa Gas Pipeline.  Mr. Zinsou reviewed the facility agreement and all project documents (power purchase agreement, the EPC and O & M agreement, the fuel supply, storage and other long term service agreements) and assisted in providing a comprehensive report on the project with respect to legal and regulatory requirements, land acquisitions/leasing, permitting, constructions operation and maintenance.

  • ContourGlobal Cap des Biches Senegal – Cap des Biches Powerplant Rehabilitation and Expansion Project in Senegal.  Co-leader of the legal team in charge of advising ContourGlobal, a multinational U.S.-based power company, in collaboration with Norton Rose Fulbright LLP,  in the rehabilitation of a 53MW combined cycle (HFO and gas) thermal power plant and in a 33MW expansion in Cap des Biches (Senegal) bringing the installed capacity of the rehabilitated plant to 86MW.  In addition to advising on the project delivery, Mr. Zinsou’s team advised on the financing structure of a $100 million tranche A credit line to finance the rehabilitation as well as a subsequent $54 million tranche B credit line to finance the expansion.  Both financings were issued by OPIC (Overseas Private Investment Corporation) with a swap currency provided by the International Finance Corporation (IFC).  Both project procurements were conducted quasi simultaneously, with notices to proceed scheduled six months apart. This project is the largest U.S. investment in Senegal to date.  Mr. Zinsou served as one of the two lead negotiators for ContourGlobal, and was involved in the drafting and negotiation of the project documents, the credit documentation and the contracts subject to local law.

  • ContourGlobal Services Africa – Thermal Power Plant RFP in Burkina Faso.  Leader of the legal team advising the sponsor, ContourGlobal, in collaboration with Herbert Smith Freehills, in responding to a tender offer for the financing and construction under a BOOT model of a 100 diesel-fired power plant and associated infrastructure in Burkina Faso.  Mr. Zinsou led the legal team’s review of the tender documentation, including the concession agreement, , and contracts related to the associated infrastructure, technical components and tariff structure as well as any associated guarantees, and obtaining letters of intent from IFC and OPIC.

  • ContourGlobal Management Services S.A.S. – Grand Bassam Thermal Power Plant Project in Ivory Coast.  Leader of the legal team which advised the sponsor, ContourGlobal, in the development, financing, construction and operation of a 378 MW flexicycle thermal power plant, a greenfield project in Grand Bassam (Ivory Coast). Mr. Zinsou provided legal support from the pre-development phase (negotiation and drafting of Memorandum of Understanding) to the negotiation of relevant project documents including the concession agreement and resettlement/anti-corruption issues. The project has been suspended by the Government due to technical difficulties subject to further evaluations of the delivery mechanisms.

  • International finance lender – Bonsu Water Treatment Project in Ghana.  A Nossaman attorney was a key member of the legal team advising an international lending agency in a €400 million loan to finance the construction of an 80mgd Water Treatment Plant at Asutuare (the Bonsu project) to supply water to Accra and Tema by a Build, Operate and Transfer model. Mr. Zinsou analyzed the Operate & Maintain contract and the Design & Build contract and provided advice related to permitting and compliance with local financial, corporate, labor and regulatory requirements.

  • Independent Power Producer - Cogeneration Biogas Plant in Nigeria.  A Nossaman attorney was a key member of the legal team which advised in the disposal of a 7MW co-generation facility (produces power and heat), powering the site of Africa’s second largest non-alcoholic beverage bottler in Nigeria. Mr. Zinsou assisted in drafting the asset disposal documentation and in negotiating the terms of the release of sponsor’s financial obligations with a US lending agency.

  • ContourGlobal Bonaire – Wind and Diesel Power Plant in Bonaire.  Leader of the team advising the sponsor, ContourGlobal, on general corporate governance matters as well as labor matters for a 24 MW integrated wind and diesel power plant capable of operating with both heavy fuel oil and light fuel oil in Bonaire, a Caribbean island. Mr. Zinsou was in charge of handling all corporate governance matters on behalf of sponsor and ensuring compliance with financing and project documentation.

  • Mauritius Investment Firm – Solar Plant in Ghana.  Key member of the legal team which advised a Mauritius investment firm in its joint development agreement for the development of a solar plant in Ghana in partnership with two Ghana­based companies focused on the identification, construction and financing of alternative renewable energy. Mr. Zinsou reviewed and provided advice in relation with the implementation of the joint development agreement and analyzed the EPC contract.

  • South African Bank – Jubilee Oil Field Project in Ghana.  Key member of a the legal team which advised a South African Bank in a US $180 million reverse-based facility agreement to Petro SA for the acquisition of Sabre Oil’s stake in the Jubilee Oilfield in Ghana. Mr. Zinsou reviewed the facility agreements, and prepared a financial legal opinion pertaining to the validity, legality and enforceability of the security arrangements, permitting and other regulatory requirements.

  • Project developer – Real Estate P3 in Ghana.  Key member of the legal team which advised a large private developer in a P3 transaction with two Ghanaian state entities for the acquisition of land around the Accra International Airport that would be used to develop a mixed used office and commercial complex on the land through a design, build, finance, operate, maintain and transfer P3 arrangement. Mr. Zinsou reviewed and provided comments to the project agreement, and drafted a comprehensive overview of the applicable legislations in Ghana including the Public Procurement Act (PPA) and the PPP Policy Framework.
